# Terms of Service — Clock Trakr **Effective date:** September 7, 2026 **Last updated:** October 1, 2026 **Entity:** DevCon1 Solutions LLC (“we”, “us”, “our”) **Product:** Clock Trakr **Contact:** legal@devcon1.solutions These Terms of Service (“Terms”) govern your use of Clock Trakr. By creating an account, continuing without an account, or otherwise using the app or website, you agree to these Terms and our Privacy Policy. ## 1. The service Clock Trakr is a time-tracking and work-organization product. Features may include: - Customers (individual or company) with jobs (including a default “General” job) - Clock in/out, breaks, notes, materials, and mileage - Documents such as invoices and quotes - Graphs and reports of tracked time - Online workspaces, sync, and worker collaboration on paid Manager plans We may add, change, or remove features. For material changes that affect paid plans, we will provide reasonable notice where practicable. ## 2. Eligibility and accounts You must be able to form a binding contract and meet any age requirements of your jurisdiction (and at least 13 years old). You are responsible for accurate registration details, safeguarding credentials, and activity under your account. Managers are responsible for permissions granted to workers on their customers. Guest / on-device use is still subject to these Terms. ## 3. Plans and Apple billing - **Personal** — free tier with device-local limits (including customer caps and free online document quotas). - **Contractor** and **Manager** — paid Auto-Renewable Subscriptions sold only through the App Store on the Clock Trakr iOS app. Payment is charged to your Apple ID. Subscriptions renew automatically unless canceled at least 24 hours before the end of the current period. Manage or cancel in iOS Settings → Apple ID → Subscriptions. Fees are non-refundable except where required by law or Apple’s refund rules. Failure to pay may restrict paid workspace features while reads may continue where we allow. Online workspaces are provisioned after a successful subscription and remain owned by an `ownerUserId`; we do not leave workspaces without an owner. ## 4. Acceptable use You agree not to: - Misuse Clock Trakr or interfere with others’ use - Attempt unauthorized access to accounts, APIs, or data - Upload unlawful, harmful, or infringing content - Abuse workers’ or customers’ data beyond granted permissions - Reverse engineer or scrape the service except where law allows - Use the service to violate any applicable law We may suspend or terminate accounts that threaten security, other users, or the integrity of the service. ## 5. Your content and license You retain ownership of customers, time entries, notes, expenses, documents, and other content you create (“Your Content”). You grant us a worldwide, non-exclusive license to host, process, transmit, and display Your Content solely to operate and improve Clock Trakr (including backups and sync). You represent that you have the rights needed to provide Your Content and to invite workers to access customer data. ## 6. Worker collaboration On Manager plans, you may invite other Clock Trakr accounts as workers and assign customer permissions. You are responsible for whom you invite and what they can see or edit. Workers may keep free Personal accounts; their own customer limits still apply to customers they own. ## 7. Third-party services Clock Trakr relies on third parties such as Apple (billing) and cloud infrastructure providers. Their terms and privacy practices apply to their services. We are not responsible for outages or acts of third parties beyond our reasonable control. ## 8. Intellectual property Clock Trakr, including branding, software, and documentation, is owned by DevCon1 Solutions LLC or its licensors. These Terms do not transfer ownership of our IP to you. You may not copy, modify, or distribute our software except as we expressly allow. ## 9. Disclaimer of warranties CLOCK TRAKR IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, OR THAT TIME DATA WILL MEET ALL BILLING OR LEGAL REQUIREMENTS IN YOUR JURISDICTION—you remain responsible for how you use tracked time. ## 10. Limitation of liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEVCON1 SOLUTIONS LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR CLOCK TRAKR IN THE THREE MONTHS BEFORE THE CLAIM OR (B) USD $50. Some jurisdictions do not allow certain limitations; in those places, our liability is limited to the fullest extent permitted. ## 11. Indemnity You will defend and indemnify us against claims arising from Your Content, your misuse of the service, or your violation of these Terms or others’ rights, except to the extent caused by our willful misconduct. ## 12. Termination You may stop using Clock Trakr and request account deletion at any time. We may suspend or terminate access for breach of these Terms or risk to the service. Provisions that by nature should survive (including ownership, disclaimers, limitations, and indemnity) survive termination. ## 13. Changes to these Terms We may update these Terms. We will update the date above and, for material changes, prompt re-acceptance in the app via versioned legal documents. Continued use after acceptance constitutes agreement to the updated Terms. ## 14. Governing law These Terms are governed by the laws of the State of Florida, USA, excluding conflict-of-law rules, unless mandatory consumer protections in your country require otherwise. Courts in Florida have exclusive jurisdiction, subject to those mandatory protections. ## 15.
